Appendix A: Terms of Service

Your Marketing Hub

Service Description
1.1. Your Marketing Hub is an all-in-one CRM system which is included in the Database Management, Basic, Growth and Complete Agent Marketer packages.

1.2. Optional additional features may be purchased and will require a billing card to be added to the system. Current fees include: $15 monthly for WhatsApp, $10 for 2,000 emails to be verified, phone numbers (cost dependent on each number), outbound calls at $0.028/min, inbound calls at $0.017/min, SMS at $0.0166/segment, and premium workflow triggers/actions (required for Letty Chatbot) at $10 per 500 actions. These charges are subject to change.

Data Ownership
2.1. The Client retains ownership of all data contained in Your Marketing Hub. Data may be exported into CSV format at any given point.

Support
3.1. Support is provided through an online database of tutorial videos, the YMH training platform, and the Knowledge Base (how-to guides).

3.2. Clients subscribed to Database Management, Basic, Growth, and Complete packages also have access to email support from their dedicated Client Account Manager.

Packages

Basic Package
4.1. Online advertising on Facebook, Instagram, Google and YouTube. Platform coverage is dependent on the Client’s ad budget and the suitability of the campaign for that platform.

4.2. Multiple campaigns may be run under this package, targeting different avatars or locations.

4.3. All ad creatives and written copy for advertising campaigns are produced by Agent Marketer.

Growth Package
5.1. Includes all provisions of the Basic Package.

5.2. Omnipresence campaigns may be created across multiple platforms in a carefully constructed sequence. These require additional ad spend.


5.3. Retargeting campaigns may be used to re-engage audiences interacting with Client content (subject to additional ad spend).

5.4. Weekly email nurture campaigns will be created and sent to target avatars.

Complete Package
6.1. Includes all provisions of the Growth Package.

6.2. Social media content will be created for advertising avatars, with two posts scheduled weekly to the Client’s connected pages in YMH.

Payment Terms

Payments
7.1. All payments are required in advance and are due on the date specified on the invoice.

7.2. Failure to make payment will result in services being suspended or restricted until accounts are up to date.

Contract Term
8.1. All service packages are subject to a minimum twelve (12) month contract.

8.2. Packages may be upgraded at any time during the contract.

8.3. Any downgrades require a minimum of sixty (60) days’ notice and can only be requested after three (3) months at the current package level.

General Terms

No Guarantee of Results
9.1. Agent Marketer is engaged as a marketing and lead generation services provider.

9.2. While we apply industry best practices and exercise reasonable care, no guarantees are made regarding lead volumes, conversion rates, sales outcomes, revenue growth, business expansion, or financial performance.

9.3. The Client acknowledges that outcomes are dependent upon factors outside Agent Marketer’s control, including but not limited to: the Client’s internal sales processes, quality of follow-up, market conditions, and third-party platform policies.

Third-Party Servers and Service Availability
10.1. Certain services provided by Agent Marketer, including but not limited to Your Marketing Hub, webinar functionality, and AI-driven services, operate on servers, infrastructure, and networks managed and maintained by third-party providers.

10.2. Agent Marketer does not own, operate, or control such servers and cannot guarantee continuous, uninterrupted availability of these systems. Accordingly, Agent Marketer shall not be held liable for any downtime, delay, suspension, service degradation, or outage caused by server failures, maintenance, or technical issues occurring within third-party infrastructure.

10.3. The Client acknowledges and accepts that interruptions or limitations in third-party servers or hosting environments may affect the performance or delivery of Agent Marketer’s services. Such interruptions shall not constitute a breach of this Agreement by Agent Marketer.

10.4. The Client shall indemnify, defend, and hold harmless Agent Marketer, its directors, employees, contractors, and agents against any claims, damages, losses, liabilities, or expenses (including reasonable legal fees) arising out of or in connection with any downtime, server outage, or service interruption attributable to third-party infrastructure.

10.5. Agent Marketer will use reasonable efforts to liaise with third-party providers to restore services promptly in the event of an outage, but the Client accepts that resolution times are outside Agent Marketer’s direct control.

Limitation of Liability
11.1. To the fullest extent permitted by law, Agent Marketer shall not be liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, business, goodwill, or anticipated savings.

11.2. Agent Marketer’s total aggregate liability, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall be strictly limited to the total fees paid by the Client to Agent Marketer in the twelve (12) months immediately preceding the event giving rise to the claim.

Client Indemnity
12.1. The Client shall indemnify, defend and hold harmless Agent Marketer, its directors, employees, contractors and agents, from and against any claims, losses, damages, liabilities, costs or expenses (including reasonable legal fees) arising from:
(a) Misuse of Agent Marketer’s services, including unlawful, misleading, or non-compliant communications via Your Marketing Hub, Letty, Aiva, or any integrated system;
(b) The accuracy, legality, and completeness of any data, leads, scripts, or content supplied by the Client;
(c) The Client’s failure to comply with applicable laws and regulations, including but not limited to data protection, privacy, advertising standards, and telemarketing regulations.

Force Majeure
13.1. Agent Marketer shall not be liable for any delay or failure in performance caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, power or internet outages, industrial action, governmental restrictions, pandemics, or failure of third-party platforms.

13.2. In such circumstances, performance obligations shall be suspended for the duration of the event.

Survival of Clauses
14.1. The Client acknowledges and agrees that Clauses 9 (No Guarantee of Results), 10 (Third-Party Servers and Service Availability), 11 (Limitation of Liability), 12 (Client Indemnity), and 13 (Force Majeure) shall survive termination or expiry of this Agreement, and shall remain in full force and effect.

Appendix B: Additional Services

Letty – AI Chatbot
15.1. Letty Chatbot automates lead engagement and scheduling via Your Marketing Hub.

15.2. The Client must provide accurate business data and obtain all necessary consents for data processing.

15.3. The Client is responsible for updating their Privacy Policy and ensuring legal compliance.

15.4. Agent Marketer makes no guarantee regarding conversion rates, appointments, or outcomes resulting from the use of Letty.

15.5. Agent Marketer’s liability in respect of Letty is limited in accordance with Clauses 10–12 of these General Terms, and in any event capped at the total fees paid by the Client for Letty in the twelve (12) months preceding the claim.

Aiva – AI Voice Agent
16.1. Aiva automates outbound calls, lead qualification, and appointment scheduling.

16.2. The Client must provide accurate lead data, lawful scripts, and ensure compliance with all relevant laws, including GDPR and telemarketing rules.

16.3. The Client accepts that Aiva relies on third-party voice technology which may be updated, modified, or experience downtime as set out in Clause 10.

16.4. Agent Marketer makes no guarantee regarding lead conversions, appointments, or outcomes resulting from the use of Aiva.

16.5. Agent Marketer’s liability in respect of Aiva is limited in accordance with Clauses 10–12 of these General Terms, and in any event capped at the total fees paid by the Client for Aiva in the twelve (12) months preceding the claim.

Video Production (Bolt-On Service)
17.1. Sessions take place at Unit 7 Newton Court, Wolverhampton WV9 5HB, 2:30–4:30pm.

17.2. A pre-production call will be arranged, and scripts must be provided no later than two (2) weeks before the session date.


17.3. The package includes four (4) edited videos, one of which may be a landing page video. Additional videos incur additional charges.

Agent SEO
18.1. Service Tiers:
(a) SEO Basics (£197+VAT/month) – covering technical and on-page SEO fundamentals.
(b) SEO Pro (£497+VAT/month) – includes Basics plus keyword research and ethical backlink acquisition.

18.2. Scope of Services: SEO outcomes depend on search engine algorithms and external competition. No guarantees of rankings or traffic are made.

18.3. Client Responsibilities:
(a) Provide necessary website and analytics access.
(b) Notify Agent Marketer of significant website changes.
(c) Maintain site hosting and mobile responsiveness.

18.4. Contract & Termination:
(a) Minimum 12-month contract applies.
(b) Termination requires 30 days’ written notice but cannot occur before completion of the minimum term.
(c) Upon termination, Agent Marketer may remove SEO implementations.

18.5. Liability:
(a) Agent Marketer is not liable for ranking changes, penalties, or algorithm updates.
(b) Liability is limited in accordance with Clauses 10–12 of these General Terms.

 

Appendix C: Indemnity Clause for Ads Account Setup

Pre-Existing Issues Disclaimer

The Client acknowledges and agrees that Agent Marketer is not responsible for the ownership, setup, structure, or accessibility of any business assets (including but not limited to accounts, pages, ad accounts, business managers, and portfolios) within third-party platforms such as Meta, Google, LinkedIn, and TikTok that predate Agent Marketer’s engagement. Any issues, faults, inconsistencies, or restrictions associated with these assets or accounts prior to Agent Marketer’s involvement shall be deemed pre-existing issues.

Client's Responsibility to Ensure Proper Ownership and Access

The Client warrants that they have full ownership of, or lawful authority over, all business assets and accounts necessary for Agent Marketer to perform the services agreed under this contract. The Client further warrants that they have ensured these assets are properly set up, accessible, and in good standing at the time of granting access to Agent Marketer.

Indemnity for Pre-Existing Issues

The Client shall indemnify, defend, and hold harmless Agent Marketer, its directors, employees, contractors, and agents, from and against any and all claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of or in connection with:

a) Pre-existing issues, faults, inconsistencies, or restrictions in the setup, ownership, or structure of the Client’s business assets or accounts.

b) Any third-party actions, suspensions, limitations, or account restrictions resulting from such pre-existing issues.

Limitations on Agent Marketer’s Obligations

While Agent Marketer may provide reasonable assistance in resolving issues related to the Client’s business assets, this assistance shall be provided at Agent Marketer’s discretion and does not imply responsibility for resolving or rectifying pre-existing issues. Under no circumstances shall such assistance be deemed a waiver of this indemnity clause or create any obligation for Agent Marketer to remedy such issues.

Termination Due to Pre-Existing Issues

The Client agrees that pre-existing issues that impact the performance or delivery of Agent Marketer’s services shall not constitute grounds for termination of this Agreement or any claims of non-performance.

Acknowledgement of Asset Limitations

The Client acknowledges that certain structural features or limitations inherent in third-party platforms (including but not limited to account ownership policies, shared business portfolios, or administrative restrictions) may affect the functionality of their assets and fall outside the control or influence of Agent Marketer.

Survival of Clause

This clause shall survive the termination or expiration of this Agreement.
